為深入貫徹落(luo)實黨中央關于金(jin)融(rong)工作的(de)決策部署,進一步強化金(jin)融(rong)資(zi)產管(guan)(guan)(guan)理(li)(li)公司監管(guan)(guan)(guan),防范化解風險,促(cu)進金(jin)融(rong)資(zi)產管(guan)(guan)(guan)理(li)(li)公司高質(zhi)量發展(zhan),國家金(jin)融(rong)監督管(guan)(guan)(guan)理(li)(li)總局印(yin)發了《關于促(cu)進金(jin)融(rong)資(zi)產管(guan)(guan)(guan)理(li)(li)公司高質(zhi)量發展(zhan) 提升監管(guan)(guan)(guan)質(zhi)效的(de)指導意(yi)見》(以下簡稱《指導意(yi)見》)。
《指導(dao)意(yi)見(jian)(jian)》從總(zong)體要(yao)求(qiu)、完(wan)善(shan)公(gong)(gong)司(si)治(zhi)理(li)(li)、堅守主責(ze)主業(ye)、強(qiang)(qiang)化風(feng)(feng)險(xian)防控、提升監(jian)(jian)(jian)管質(zhi)效等方面,提出(chu)促進金(jin)(jin)融(rong)資(zi)產(chan)(chan)(chan)管理(li)(li)公(gong)(gong)司(si)高質(zhi)量(liang)發(fa)(fa)展(zhan)(zhan)(zhan)的(de)十(shi)六條意(yi)見(jian)(jian)措施。《指導(dao)意(yi)見(jian)(jian)》明確了金(jin)(jin)融(rong)資(zi)產(chan)(chan)(chan)管理(li)(li)公(gong)(gong)司(si)發(fa)(fa)展(zhan)(zhan)(zhan)與監(jian)(jian)(jian)管工作應(ying)遵(zun)循(xun)的(de)指導(dao)思想(xiang)和(he)基本原則(ze),要(yao)求(qiu)金(jin)(jin)融(rong)資(zi)產(chan)(chan)(chan)管理(li)(li)公(gong)(gong)司(si)不斷強(qiang)(qiang)化黨的(de)領(ling)導(dao)和(he)黨的(de)建(jian)設(she),完(wan)善(shan)公(gong)(gong)司(si)治(zhi)理(li)(li)機制建(jian)設(she),建(jian)立健(jian)全(quan)激勵約束機制。《指導(dao)意(yi)見(jian)(jian)》提出(chu),金(jin)(jin)融(rong)資(zi)產(chan)(chan)(chan)管理(li)(li)公(gong)(gong)司(si)要(yao)聚(ju)焦發(fa)(fa)揮特色功能(neng),加快培育(yu)核(he)心競爭(zheng)力,做強(qiang)(qiang)做優不良資(zi)產(chan)(chan)(chan)收購(gou)處(chu)置(zhi)業(ye)務,服務化解中小(xiao)金(jin)(jin)融(rong)機構、房地產(chan)(chan)(chan)等領(ling)域(yu)風(feng)(feng)險(xian),促進實(shi)體經濟健(jian)康發(fa)(fa)展(zhan)(zhan)(zhan)。要(yao)持續(xu)加強(qiang)(qiang)風(feng)(feng)險(xian)管理(li)(li)和(he)內控機制建(jian)設(she),強(qiang)(qiang)化存量(liang)風(feng)(feng)險(xian)資(zi)產(chan)(chan)(chan)處(chu)置(zhi),嚴(yan)控增量(liang)業(ye)務風(feng)(feng)險(xian),加強(qiang)(qiang)資(zi)產(chan)(chan)(chan)負債(zhai)和(he)流動性管理(li)(li),推進瘦身健(jian)體。同時(shi),《指導(dao)意(yi)見(jian)(jian)》指出(chu),要(yao)持續(xu)完(wan)善(shan)監(jian)(jian)(jian)管制度體系(xi),加強(qiang)(qiang)重點領(ling)域(yu)監(jian)(jian)(jian)管,強(qiang)(qiang)化違法違規(gui)行為查處(chu),加強(qiang)(qiang)監(jian)(jian)(jian)管隊伍建(jian)設(she),強(qiang)(qiang)化各類監(jian)(jian)(jian)督貫通(tong)聯動。
《指(zhi)導(dao)意見》的發(fa)布實施,有利于(yu)引導(dao)金(jin)融(rong)資(zi)產(chan)管理(li)公(gong)司聚焦主責主業,強化(hua)風險防(fang)控(kong),深入推進(jin)高質量發(fa)展(zhan)(zhan),提升監管質效,促(cu)進(jin)金(jin)融(rong)資(zi)產(chan)管理(li)公(gong)司發(fa)揮(hui)特色功(gong)能,更(geng)好地服務(wu)化(hua)解金(jin)融(rong)和實體經濟(ji)風險,助(zhu)力經濟(ji)社會高質量發(fa)展(zhan)(zhan)。

為深入貫徹(che)落實黨中央關(guan)于金(jin)融(rong)(rong)工作的(de)決策部署,進(jin)(jin)一步強化金(jin)融(rong)(rong)資(zi)產管(guan)(guan)理(li)(li)公司監管(guan)(guan),有效防范化解風險(xian),促進(jin)(jin)金(jin)融(rong)(rong)資(zi)產管(guan)(guan)理(li)(li)公司高質量發(fa)展(zhan),在新形勢(shi)下更(geng)好地(di)發(fa)揮金(jin)融(rong)(rong)資(zi)產管(guan)(guan)理(li)(li)公司金(jin)融(rong)(rong)救助和逆(ni)周(zhou)期調節的(de)功能作用,現提出(chu)以(yi)下意見。
一、總體要求
(一)指導思想
堅(jian)持(chi)以(yi)習近平新時(shi)代中(zhong)(zhong)國特色社會主義思(si)想為指導(dao)(dao),深入貫(guan)徹落實(shi)黨的(de)二(er)十(shi)大和二(er)十(shi)屆二(er)中(zhong)(zhong)、三(san)中(zhong)(zhong)全會以(yi)及中(zhong)(zhong)央經濟工(gong)作(zuo)會議(yi)、中(zhong)(zhong)央金融(rong)(rong)工(gong)作(zuo)會議(yi)精神,完整準確全面(mian)貫(guan)徹新發展(zhan)理(li)念(nian),踐行(xing)金融(rong)(rong)工(gong)作(zuo)的(de)政治性(xing)、人民性(xing),堅(jian)定不移走中(zhong)(zhong)國特色金融(rong)(rong)發展(zhan)之路。堅(jian)持(chi)強監(jian)(jian)管(guan)、嚴監(jian)(jian)管(guan),持(chi)續完善金融(rong)(rong)資(zi)產管(guan)理(li)公司監(jian)(jian)管(guan)制度體系,著力防范(fan)實(shi)質風險(xian)、解決實(shi)際問題,不斷提(ti)升監(jian)(jian)管(guan)有效性(xing)。引(yin)導(dao)(dao)金融(rong)(rong)資(zi)產管(guan)理(li)公司聚焦主責主業,深化(hua)改革轉型發展(zhan),平衡好(hao)功(gong)能性(xing)和營利性(xing)的(de)關系,堅(jian)持(chi)把功(gong)能性(xing)放在首位,不斷提(ti)升服(fu)務(wu)化(hua)解金融(rong)(rong)和實(shi)體經濟風險(xian)的(de)質效,助力金融(rong)(rong)強國建設,更好(hao)服(fu)務(wu)中(zhong)(zhong)國式現代化(hua)大局。
(二)基本原則
一是加(jia)強(qiang)(qiang)黨(dang)的(de)領導(dao)。堅(jian)持(chi)黨(dang)中(zhong)央對(dui)金(jin)(jin)融(rong)(rong)工作的(de)集中(zhong)統(tong)(tong)一領導(dao),把加(jia)強(qiang)(qiang)黨(dang)的(de)領導(dao)和(he)(he)(he)黨(dang)的(de)建(jian)設貫(guan)穿于金(jin)(jin)融(rong)(rong)資(zi)產(chan)管(guan)理(li)(li)(li)公(gong)司改(gai)革(ge)發(fa)(fa)(fa)展全過程,確保金(jin)(jin)融(rong)(rong)資(zi)產(chan)管(guan)理(li)(li)(li)公(gong)司始終保持(chi)正確的(de)發(fa)(fa)(fa)展方向。二是專(zhuan)注主責主業(ye)。引導(dao)金(jin)(jin)融(rong)(rong)資(zi)產(chan)管(guan)理(li)(li)(li)公(gong)司立足(zu)功能定位,做優(you)做強(qiang)(qiang)不(bu)良(liang)(liang)資(zi)產(chan)業(ye)務,規(gui)范有序開展問題企業(ye)紓(shu)困業(ye)務,探(tan)索新形勢下服務化(hua)解金(jin)(jin)融(rong)(rong)和(he)(he)(he)實體經(jing)濟(ji)風(feng)險的(de)模式,促進經(jing)濟(ji)社(she)會資(zi)源(yuan)優(you)化(hua)配置(zhi)。三是深(shen)化(hua)改(gai)革(ge)轉型(xing)。推動金(jin)(jin)融(rong)(rong)資(zi)產(chan)管(guan)理(li)(li)(li)公(gong)司堅(jian)持(chi)內涵式、專(zhuan)業(ye)化(hua)、差異化(hua)發(fa)(fa)(fa)展,逐步構建(jian)形成(cheng)依(yi)法(fa)合(he)規(gui)、風(feng)險可(ke)(ke)控(kong)、商業(ye)可(ke)(ke)持(chi)續的(de)高質(zhi)量發(fa)(fa)(fa)展路徑,強(qiang)(qiang)化(hua)高質(zhi)量發(fa)(fa)(fa)展的(de)政策(ce)支持(chi)和(he)(he)(he)資(zi)源(yuan)保障,促進市場良(liang)(liang)性(xing)競爭、可(ke)(ke)持(chi)續發(fa)(fa)(fa)展。四是強(qiang)(qiang)化(hua)風(feng)險防控(kong)。把防控(kong)風(feng)險作為金(jin)(jin)融(rong)(rong)工作的(de)永恒主題,全面加(jia)強(qiang)(qiang)公(gong)司治理(li)(li)(li)和(he)(he)(he)風(feng)險管(guan)理(li)(li)(li),強(qiang)(qiang)化(hua)“五大監管(guan)”,對(dui)風(feng)險早(zao)識(shi)別、早(zao)預警、早(zao)暴露、早(zao)處置(zhi),牢(lao)牢(lao)守住不(bu)發(fa)(fa)(fa)生系統(tong)(tong)性(xing)金(jin)(jin)融(rong)(rong)風(feng)險的(de)底(di)線。
二、加強黨的領(ling)導,持(chi)續提(ti)升(sheng)公(gong)司治理有效(xiao)性
(三)不(bu)斷強(qiang)化(hua)黨(dang)(dang)(dang)(dang)(dang)(dang)的領(ling)(ling)(ling)導和(he)黨(dang)(dang)(dang)(dang)(dang)(dang)的建(jian)(jian)設(she)。堅(jian)持黨(dang)(dang)(dang)(dang)(dang)(dang)建(jian)(jian)引領(ling)(ling)(ling),持續加強(qiang)黨(dang)(dang)(dang)(dang)(dang)(dang)的領(ling)(ling)(ling)導和(he)黨(dang)(dang)(dang)(dang)(dang)(dang)的建(jian)(jian)設(she),切實發(fa)揮黨(dang)(dang)(dang)(dang)(dang)(dang)委把方(fang)向(xiang)、管大局、保落(luo)實的領(ling)(ling)(ling)導作用,把準(zhun)金融(rong)資產管理(li)(li)公司基本定位和(he)發(fa)展方(fang)向(xiang)。堅(jian)持和(he)完善(shan)“雙向(xiang)進入、交叉任(ren)職”領(ling)(ling)(ling)導體制(zhi),將黨(dang)(dang)(dang)(dang)(dang)(dang)的領(ling)(ling)(ling)導融(rong)入公司治(zhi)(zhi)理(li)(li)各(ge)個環節,推動建(jian)(jian)立中國特色現代(dai)金融(rong)企業制(zhi)度(du)。認(ren)真(zhen)落(luo)實“三重一大”決策制(zhi)度(du),重大經營管理(li)(li)事項必須經黨(dang)(dang)(dang)(dang)(dang)(dang)委前置研究討論后再由相關治(zhi)(zhi)理(li)(li)主體按職權和(he)規定程序作出決定。推進黨(dang)(dang)(dang)(dang)(dang)(dang)建(jian)(jian)與業務(wu)深度(du)融(rong)合互促,以高質(zhi)量(liang)黨(dang)(dang)(dang)(dang)(dang)(dang)建(jian)(jian)促進高質(zhi)量(liang)發(fa)展。堅(jian)持政治(zhi)(zhi)過(guo)硬、能力過(guo)硬、作風過(guo)硬標(biao)準(zhun),鍛造忠誠(cheng)干凈擔當的高素質(zhi)專業化(hua)金融(rong)干部人才隊伍。
(四)完(wan)善(shan)公(gong)司(si)(si)治理機(ji)制建(jian)設。結合金(jin)融資(zi)產(chan)管理公(gong)司(si)(si)業務特征和(he)公(gong)司(si)(si)實際,優化完(wan)善(shan)公(gong)司(si)(si)治理組織架構(gou),明晰職責邊(bian)界,充分發(fa)揮(hui)股東會、董事(shi)(shi)會、高(gao)級管理層等(deng)治理主體作用,構(gou)建(jian)權責明晰、各司(si)(si)其職、協調運(yun)轉、有效(xiao)制衡的(de)公(gong)司(si)(si)治理機(ji)制。壓實股東、董事(shi)(shi)、高(gao)級管理人(ren)員等(deng)責任,完(wan)善(shan)履職評價(jia)機(ji)制,督促(cu)推動勤勉盡職,依(yi)法行使職權、履行各項義(yi)務,有效(xiao)參與公(gong)司(si)(si)治理。堅持誠(cheng)實守(shou)信、以義(yi)取利、穩健審慎(shen)、守(shou)正創新、依(yi)法合規,踐行中國(guo)特色金(jin)融文化。
(五)建(jian)立健全(quan)激勵(li)約(yue)(yue)束(shu)機(ji)制(zhi)。堅(jian)持問題(ti)導向和(he)(he)(he)目標導向,建(jian)立健全(quan)與(yu)公(gong)司發(fa)展(zhan)戰(zhan)略、業(ye)務特征等(deng)相適應的(de)激勵(li)約(yue)(yue)束(shu)機(ji)制(zhi),激發(fa)自身(shen)堅(jian)守(shou)定位、穩健經營的(de)內(nei)生動力,堅(jian)決避免盲(mang)目追求規模、無序擴張和(he)(he)(he)偏(pian)離(li)主業(ye)。發(fa)揮績效(xiao)(xiao)(xiao)考(kao)核(he)(he)導向作用(yong),優化績效(xiao)(xiao)(xiao)評價機(ji)制(zhi),完善相關考(kao)核(he)(he)指標,注(zhu)重長周期(qi)、逆周期(qi)考(kao)核(he)(he),突出合規經營和(he)(he)(he)風險(xian)管理,加強對(dui)服(fu)務化解金融和(he)(he)(he)實(shi)體(ti)經濟風險(xian)成效(xiao)(xiao)(xiao)的(de)評價。認真落實(shi)執行董事、高級管理人員和(he)(he)(he)關鍵崗位人員績效(xiao)(xiao)(xiao)薪酬(chou)延期(qi)支付和(he)(he)(he)追索(suo)扣回制(zhi)度,防范激勵(li)不(bu)當(dang)導致弱化風險(xian)防控等(deng)問題(ti)。嚴格執行問責(ze)制(zhi)度,加強對(dui)失職(zhi)(zhi)和(he)(he)(he)不(bu)當(dang)履職(zhi)(zhi)行為的(de)責(ze)任(ren)追究,同時堅(jian)持“三個(ge)區分開(kai)來”,落實(shi)盡(jin)職(zhi)(zhi)免責(ze)制(zhi)度。

(六(liu))聚焦發揮特色(se)功能(neng),加快培育核心(xin)競爭(zheng)力(li)(li)。支持金融(rong)資(zi)(zi)產管(guan)理公(gong)司立足發揮金融(rong)救(jiu)助和(he)(he)逆周(zhou)期(qi)調節的(de)功能(neng)作用,依法(fa)合(he)規(gui)探索(suo)業(ye)(ye)務(wu)模式創(chuang)新,豐富風險化(hua)解(jie)和(he)(he)救(jiu)助紓困手段(duan),深化(hua)專業(ye)(ye)化(hua)、差異化(hua)發展,培育具有(you)比較優勢的(de)核心(xin)競爭(zheng)力(li)(li)。提高(gao)不(bu)良(liang)資(zi)(zi)產盡(jin)職調查(cha)、估值定價(jia)、存(cun)續期(qi)管(guan)理、重組增值運作、資(zi)(zi)產處(chu)置(zhi)(zhi)等能(neng)力(li)(li)。加強(qiang)(qiang)(qiang)不(bu)良(liang)資(zi)(zi)產處(chu)置(zhi)(zhi)生態(tai)體系建設。拓(tuo)展咨詢顧(gu)問、受托處(chu)置(zhi)(zhi)資(zi)(zi)產、破產管(guan)理人等中間(jian)業(ye)(ye)務(wu),探索(suo)發展輕資(zi)(zi)產業(ye)(ye)務(wu)經營模式。加強(qiang)(qiang)(qiang)投研能(neng)力(li)(li)建設,增強(qiang)(qiang)(qiang)對宏觀經濟、相關產業(ye)(ye)、行業(ye)(ye)、企業(ye)(ye)的(de)研判分(fen)析(xi)和(he)(he)投資(zi)(zi)機會把握能(neng)力(li)(li)。探索(suo)利用大數據、人工智能(neng)等提升經營管(guan)理質效,推進科技賦能(neng)和(he)(he)數智化(hua)轉型。
(七)做強(qiang)做優(you)不(bu)良(liang)資(zi)(zi)產收購處置(zhi)業(ye)(ye)(ye)務,服務化(hua)解(jie)中小金融機(ji)(ji)(ji)構(gou)(gou)、房(fang)地產等領域風(feng)險(xian)。在風(feng)險(xian)可(ke)控(kong)、商業(ye)(ye)(ye)可(ke)持(chi)續(xu)前(qian)提下(xia),積(ji)極加(jia)大商業(ye)(ye)(ye)銀行、非銀行金融機(ji)(ji)(ji)構(gou)(gou)不(bu)良(liang)資(zi)(zi)產收購、管理(li)和處置(zhi)力度(du),服務地方中小金融機(ji)(ji)(ji)構(gou)(gou)改(gai)革化(hua)險(xian)。穩妥(tuo)審慎開展(zhan)以結構(gou)(gou)化(hua)交易(yi)方式收購不(bu)良(liang)資(zi)(zi)產,堅(jian)持(chi)資(zi)(zi)產真(zhen)實潔凈轉讓,不(bu)得為金融機(ji)(ji)(ji)構(gou)(gou)利用(yong)結構(gou)(gou)化(hua)交易(yi)違規掩蓋不(bu)良(liang)、美化(hua)報表等提供支持(chi)。規范開展(zhan)反委(wei)托處置(zhi)不(bu)良(liang)資(zi)(zi)產業(ye)(ye)(ye)務,持(chi)續(xu)做好委(wei)托期(qi)間監測、管理(li),強(qiang)化(hua)自身處置(zhi)能力建設,避免“一托了之”。鼓勵金融資(zi)(zi)產管理(li)公(gong)司發揮(hui)知識、技術、法律等專業(ye)(ye)(ye)優(you)勢(shi),探索采取多(duo)種(zhong)方式參與中小金融機(ji)(ji)(ji)構(gou)(gou)風(feng)險(xian)化(hua)解(jie)。積(ji)極落實國家有關房(fang)地產政(zheng)策,支持(chi)受困房(fang)企項目紓(shu)困化(hua)險(xian),促進房(fang)地產市場(chang)平穩健康發展(zhan)。
(八)發揮(hui)風險化解和(he)(he)資(zi)(zi)產(chan)(chan)處置專長,促進實體經濟(ji)健康發展。依法(fa)依規、穩妥有(you)序開展問(wen)題(ti)企(qi)(qi)業(ye)(ye)(ye)紓(shu)困(kun)業(ye)(ye)(ye)務,聚焦問(wen)題(ti)企(qi)(qi)業(ye)(ye)(ye)有(you)效(xiao)(xiao)金(jin)融(rong)需求,通過過橋(qiao)融(rong)資(zi)(zi)、共益債投資(zi)(zi)、夾層投資(zi)(zi)、階段性持(chi)股(gu)等(deng)方式實施(shi)紓(shu)困(kun),促進優化資(zi)(zi)產(chan)(chan)負債結(jie)(jie)構,恢復企(qi)(qi)業(ye)(ye)(ye)生產(chan)(chan)經營能(neng)力和(he)(he)償債能(neng)力,實現經濟(ji)效(xiao)(xiao)益和(he)(he)社會效(xiao)(xiao)益的(de)有(you)機統一。合(he)理(li)審慎確(que)定紓(shu)困(kun)企(qi)(qi)業(ye)(ye)(ye)對象,不(bu)得對違背國家政策導向、明顯不(bu)具備紓(shu)困(kun)價值的(de)企(qi)(qi)業(ye)(ye)(ye)實施(shi)紓(shu)困(kun)。結(jie)(jie)合(he)金(jin)融(rong)資(zi)(zi)產(chan)(chan)管理(li)公司自身(shen)定位、資(zi)(zi)源(yuan)稟賦等(deng),因地(di)制宜(yi)做好(hao)金(jin)融(rong)“五篇大文章(zhang)”,促進科技創新(xin)和(he)(he)新(xin)質生產(chan)(chan)力發展壯(zhuang)大,支持(chi)資(zi)(zi)本市場高質量發展。

(十)強(qiang)(qiang)化存量(liang)(liang)風險(xian)(xian)資(zi)(zi)(zi)產處(chu)置(zhi)(zhi),嚴控增量(liang)(liang)業務風險(xian)(xian)。持(chi)續推(tui)進內生不良資(zi)(zi)(zi)產處(chu)置(zhi)(zhi),通過(guo)清收、重組(zu)、以物(wu)抵債(zhai)等多種方(fang)式(shi)不斷提(ti)升處(chu)置(zhi)(zhi)質(zhi)效。做優(you)增量(liang)(liang)與盤活存量(liang)(liang)并(bing)重,強(qiang)(qiang)化新增業務盡職調查、審查把(ba)關,加強(qiang)(qiang)投(tou)(tou)后管(guan)理。加強(qiang)(qiang)集(ji)中(zhong)度風險(xian)(xian)管(guan)理,防止資(zi)(zi)(zi)產投(tou)(tou)向過(guo)度集(ji)中(zhong)。加強(qiang)(qiang)資(zi)(zi)(zi)產分(fen)(fen)類管(guan)理,對實(shi)(shi)質(zhi)承(cheng)擔信用風險(xian)(xian)的金融資(zi)(zi)(zi)產進行準(zhun)確(que)分(fen)(fen)類,真實(shi)(shi)反(fan)映資(zi)(zi)(zi)產質(zhi)量(liang)(liang),依法(fa)依規足(zu)額計(ji)(ji)提(ti)撥備,增強(qiang)(qiang)風險(xian)(xian)抵御能力(li)。加強(qiang)(qiang)對承(cheng)擔市場風險(xian)(xian)金融資(zi)(zi)(zi)產的估值管(guan)理,按照會(hui)計(ji)(ji)準(zhun)則(ze)等規定準(zhun)確(que)反(fan)映公允價(jia)值變動(dong)情況。
(十一)加強(qiang)資(zi)(zi)產(chan)負(fu)(fu)債(zhai)和流(liu)動(dong)性(xing)(xing)管理。根據自身經營管理能力、負(fu)(fu)債(zhai)情況等(deng)合理確定業務投(tou)放,不得盲目以負(fu)(fu)債(zhai)擴張驅動(dong)資(zi)(zi)產(chan)規模增長。平衡好安全性(xing)(xing)、流(liu)動(dong)性(xing)(xing)、收益性(xing)(xing)關系(xi),適當(dang)提高中長期(qi)負(fu)(fu)債(zhai)資(zi)(zi)金(jin)(jin)占比(bi),改(gai)善資(zi)(zi)產(chan)負(fu)(fu)債(zhai)期(qi)限(xian)匹配程度,守好流(liu)動(dong)性(xing)(xing)安全底線。支持金(jin)(jin)融資(zi)(zi)產(chan)管理公(gong)司通過發行金(jin)(jin)融債(zhai)、資(zi)(zi)產(chan)證券化產(chan)品、優先(xian)股(gu)、二級(ji)資(zi)(zi)本(ben)債(zhai)券、無固定期(qi)限(xian)資(zi)(zi)本(ben)債(zhai)券等(deng)補充(chong)資(zi)(zi)金(jin)(jin)資(zi)(zi)本(ben),同時依法依規進一步拓寬(kuan)資(zi)(zi)金(jin)(jin)來源渠道(dao)。
(十二)持續推進瘦身健體。堅(jian)持回歸本源(yuan)、聚焦主(zhu)業,摒棄粗放式發展模式,穩(wen)妥有序推進附屬機(ji)構(gou)優化(hua)整合(he),進一步突出主(zhu)責(ze)主(zhu)業,不斷提高資源(yuan)使用效益。強(qiang)化(hua)存量附屬機(ji)構(gou)管(guan)理,切實履行集團管(guan)控責(ze)任(ren),做實并表管(guan)理、穿透(tou)管(guan)理。強(qiang)化(hua)對境外非(fei)金融子公司管(guan)理,審慎把(ba)控新增(zeng)業務投放,加(jia)強(qiang)國別風(feng)險(xian)、匯(hui)率風(feng)險(xian)管(guan)理。
五、堅持強監管、嚴監管,不斷提升監管質效
(十三)持續完善監(jian)管制(zhi)度(du)(du)體系。加(jia)強監(jian)管制(zhi)度(du)(du)建設,制(zhi)定或修訂(ding)出臺適應(ying)金(jin)融資產(chan)管理(li)公司業務和風(feng)(feng)(feng)險特點的機(ji)構管理(li)、資本監(jian)管、資產(chan)分(fen)類等(deng)制(zhi)度(du)(du),逐步構建多層次(ci)、廣覆蓋(gai)、差(cha)異化的監(jian)管制(zhi)度(du)(du)體系。完善風(feng)(feng)(feng)險預(yu)警機(ji)制(zhi),做實風(feng)(feng)(feng)險早(zao)期干預(yu),防范風(feng)(feng)(feng)險積聚。建立健全分(fen)級分(fen)類監(jian)管機(ji)制(zhi),根據公司風(feng)(feng)(feng)險狀況等(deng)合理(li)匹配監(jian)管資源和措施,加(jia)強差(cha)異化監(jian)管。
(十四)加強(qiang)(qiang)(qiang)(qiang)重點(dian)(dian)領(ling)域監(jian)(jian)(jian)管(guan)(guan)(guan)。加強(qiang)(qiang)(qiang)(qiang)公(gong)司治(zhi)理監(jian)(jian)(jian)管(guan)(guan)(guan),強(qiang)(qiang)(qiang)(qiang)化(hua)對(dui)股東行(xing)為、董事和(he)高管(guan)(guan)(guan)履職、風險(xian)管(guan)(guan)(guan)理、內(nei)部(bu)控(kong)(kong)制等(deng)重點(dian)(dian)領(ling)域持續監(jian)(jian)(jian)管(guan)(guan)(guan)。強(qiang)(qiang)(qiang)(qiang)化(hua)對(dui)不良(liang)資產(chan)(chan)估值、收購(gou)轉讓、資產(chan)(chan)處置等(deng)重點(dian)(dian)業(ye)務(wu)環節監(jian)(jian)(jian)管(guan)(guan)(guan)。加強(qiang)(qiang)(qiang)(qiang)問(wen)題企業(ye)紓困業(ye)務(wu)的監(jian)(jian)(jian)測評(ping)估,針對(dui)苗頭(tou)性(xing)(xing)風險(xian)問(wen)題及(ji)時采取監(jian)(jian)(jian)管(guan)(guan)(guan)措施。對(dui)通過(guo)特(te)殊(shu)目的載體等(deng)形式開展(zhan)業(ye)務(wu)實施穿透(tou)監(jian)(jian)(jian)管(guan)(guan)(guan)。嚴格落(luo)實地方政(zheng)府融(rong)資平(ping)臺相關(guan)監(jian)(jian)(jian)管(guan)(guan)(guan)政(zheng)策,嚴禁金(jin)融(rong)資產(chan)(chan)管(guan)(guan)(guan)理公(gong)司以任何形式新增地方政(zheng)府隱性(xing)(xing)債務(wu)。加強(qiang)(qiang)(qiang)(qiang)關(guan)聯交易(yi)監(jian)(jian)(jian)管(guan)(guan)(guan),防范利益輸送、監(jian)(jian)(jian)管(guan)(guan)(guan)套利。強(qiang)(qiang)(qiang)(qiang)化(hua)對(dui)分支機構監(jian)(jian)(jian)管(guan)(guan)(guan),推(tui)動提升分支機構風險(xian)防控(kong)(kong)與內(nei)控(kong)(kong)合(he)規管(guan)(guan)(guan)理水平(ping)。密切監(jian)(jian)(jian)測附(fu)屬機構業(ye)務(wu)和(he)風險(xian)狀況(kuang),加強(qiang)(qiang)(qiang)(qiang)并表監(jian)(jian)(jian)管(guan)(guan)(guan)。配合(he)相關(guan)行(xing)業(ye)主管(guan)(guan)(guan)部(bu)門加強(qiang)(qiang)(qiang)(qiang)對(dui)向金(jin)融(rong)資產(chan)(chan)管(guan)(guan)(guan)理公(gong)司提供(gong)會計(ji)審計(ji)、資產(chan)(chan)評(ping)估、信用(yong)評(ping)級、法律咨詢等(deng)服務(wu)中介機構的監(jian)(jian)(jian)管(guan)(guan)(guan)。
(十(shi)五)強化違(wei)(wei)法(fa)(fa)違(wei)(wei)規行為查(cha)處。堅持“長(chang)牙(ya)帶刺(ci)”、有棱有角(jiao),依法(fa)(fa)嚴肅查(cha)處違(wei)(wei)法(fa)(fa)違(wei)(wei)規行為,切實提(ti)高違(wei)(wei)法(fa)(fa)違(wei)(wei)規成本。同時,堅持過罰相(xiang)當原則(ze),準確(que)區(qu)分違(wei)(wei)法(fa)(fa)違(wei)(wei)規行為的(de)機(ji)(ji)構責任和個(ge)人責任,提(ti)升行政(zheng)處罰的(de)精準性、有效性。對(dui)監管工作中(zhong)發(fa)現金融(rong)(rong)資(zi)產(chan)管理公(gong)司工作人員涉嫌違(wei)(wei)紀(ji)、違(wei)(wei)法(fa)(fa)犯罪(zui)的(de)問題線索,及時依法(fa)(fa)移送紀(ji)檢(jian)監察(cha)機(ji)(ji)關(guan)或司法(fa)(fa)機(ji)(ji)關(guan),一體推進“三不腐”,嚴厲打擊金融(rong)(rong)犯罪(zui)。督促金融(rong)(rong)資(zi)產(chan)管理公(gong)司建立(li)健全警示教育長(chang)效機(ji)(ji)制,加強對(dui)違(wei)(wei)法(fa)(fa)違(wei)(wei)規典(dian)型案件的(de)通(tong)報反(fan)思,做到(dao)以案為鑒(jian)、以案促治、以案促改。
