一些上市(shi)公(gong)司監事會工作報告(gao)所稱(cheng)的在報告(gao)期履職盡(jin)責(ze),不過(guo)是(shi)在形式上和(he)言辭上“例行(xing)公(gong)事”而(er)已。
我國(guo)《公(gong)司法》規定(ding),股份公(gong)司為董事(shi)會(hui)與監事(shi)會(hui)分設的二(er)元制法人治理結構(gou),但目前A股上市(shi)公(gong)司被(bei)強制執行(xing)獨立董事(shi)制度,治理架(jia)構(gou)有(you)向美英模式(shi)靠近的跡象,遂使獨立董事(shi)與監事(shi)會(hui)的職能定(ding)位形成了交(jiao)叉。這就帶來(lai)了棘(ji)手的法律問(wen)題。
《公(gong)司(si)(si)法》第五十四條規定了監(jian)事(shi)(shi)會(hui)的(de)(de)(de)職(zhi)權(quan),包括(kuo)檢查公(gong)司(si)(si)財務(wu),監(jian)督(du)董(dong)事(shi)(shi)、高級管理(li)人員(yuan)執(zhi)行公(gong)司(si)(si)職(zhi)務(wu)的(de)(de)(de)行為等。而從不(bu)(bu)少上(shang)市公(gong)司(si)(si)不(bu)(bu)時爆出公(gong)司(si)(si)董(dong)事(shi)(shi)及高管違規、失信的(de)(de)(de)案例(li)(li)來看(kan),一些(xie)上(shang)市公(gong)司(si)(si)監(jian)事(shi)(shi)會(hui)的(de)(de)(de)監(jian)督(du)作用還很(hen)不(bu)(bu)到位。一些(xie)上(shang)市公(gong)司(si)(si)監(jian)事(shi)(shi)會(hui)工作報告(gao)所(suo)稱的(de)(de)(de)在報告(gao)期履職(zhi)盡責,不(bu)(bu)過是在形式上(shang)和(he)言(yan)辭上(shang)“例(li)(li)行公(gong)事(shi)(shi)”而已。
上(shang)市公司監事會沒能發揮應有的作(zuo)用,細究起來(lai),原因很多。
比如因(yin)為(wei)人(ren)員(yuan)(yuan)組成不合理。《公司(si)法(fa)》規定,監(jian)(jian)事(shi)(shi)會的(de)(de)成員(yuan)(yuan)包括股(gu)東(dong)代(dai)表(biao)(biao)和適(shi)當(dang)比例(li)的(de)(de)公司(si)職(zhi)工(gong)代(dai)表(biao)(biao),其中(zhong)職(zhi)工(gong)代(dai)表(biao)(biao)不得低于三分之一(yi)。但現實是,由(you)公司(si)職(zhi)工(gong)代(dai)表(biao)(biao)大會或工(gong)會提名(ming)選舉的(de)(de)職(zhi)工(gong)監(jian)(jian)事(shi)(shi),如果盡職(zhi)盡責對董事(shi)(shi)、經理這些公司(si)領導行(xing)使監(jian)(jian)督權,很可(ke)能被穿小鞋,而股(gu)東(dong)代(dai)表(biao)(biao)監(jian)(jian)事(shi)(shi)只(zhi)能由(you)股(gu)東(dong)尤其是大股(gu)東(dong)指派,在一(yi)股(gu)獨大的(de)(de)股(gu)權結構下,董事(shi)(shi)會、監(jian)(jian)事(shi)(shi)會、高級管理層的(de)(de)人(ren)選都(dou)被大股(gu)東(dong)操(cao)縱,監(jian)(jian)事(shi)(shi)會的(de)(de)獨立性自然(ran)無從談(tan)起。
又比如(ru)監(jian)事(shi)(shi)(shi)會(hui)缺乏行使職權的有效手段。首先,一般上市(shi)公(gong)司(si)沒有賦予(yu)監(jian)事(shi)(shi)(shi)會(hui)履(lv)責所(suo)需合理(li)費(fei)用的自行處理(li)權。其次,即使監(jian)事(shi)(shi)(shi)可(ke)以列席董事(shi)(shi)(shi)會(hui)議,但是(shi)公(gong)司(si)主要經營信息仍掌(zhang)握在董事(shi)(shi)(shi)會(hui)和高級管理(li)人員的手中(zhong),上市(shi)公(gong)司(si)一般較少主動(dong)為(wei)監(jian)事(shi)(shi)(shi)會(hui)提供(gong)大(da)量真實、原始、可(ke)靠的信息,監(jian)事(shi)(shi)(shi)會(hui)難以了解(jie)公(gong)司(si)實情(qing),難以履(lv)責。
再比(bi)如(ru),監(jian)(jian)事(shi)(shi)會自身也(ye)缺乏激勵和(he)處(chu)(chu)罰機制(zhi)。監(jian)(jian)事(shi)(shi)會在設(she)立(li)之初(chu)雖被賦予重要(yao)的監(jian)(jian)督(du)之責,但《公(gong)司法》第(di)六章只是規(gui)(gui)定監(jian)(jian)事(shi)(shi)不(bu)得侵占公(gong)司財產、挪用公(gong)司資(zi)金等行為,如(ru)果違(wei)(wei)(wei)法違(wei)(wei)(wei)規(gui)(gui)給公(gong)司造成損失的,將承(cheng)(cheng)擔(dan)賠償責任(ren),卻并沒(mei)有(you)規(gui)(gui)定如(ru)果監(jian)(jian)事(shi)(shi)不(bu)履行其對董事(shi)(shi)經理的監(jian)(jian)督(du)義務時(shi)應(ying)承(cheng)(cheng)擔(dan)什么后(hou)果,由此(ci)監(jian)(jian)事(shi)(shi)只要(yao)不(bu)違(wei)(wei)(wei)法,無(wu)為而治也(ye)可平(ping)平(ping)庸庸混日子。監(jian)(jian)事(shi)(shi)會干(gan)好干(gan)壞沒(mei)有(you)硬性(xing)評價標準,也(ye)沒(mei)有(you)激勵機制(zhi)。事(shi)(shi)實上(shang),到(dao)目前為止,在眾多被查處(chu)(chu)的上(shang)市(shi)公(gong)司董事(shi)(shi)、經理違(wei)(wei)(wei)法違(wei)(wei)(wei)規(gui)(gui)案例(li)中,幾乎沒(mei)有(you)監(jian)(jian)事(shi)(shi)被同時(shi)追究失職責任(ren)的。
在(zai)(zai)全球的(de)各類公(gong)(gong)司(si)(si)治(zhi)(zhi)理(li)架構中,監(jian)事(shi)(shi)會(hui)并(bing)非必須(xu)有的(de)設(she)置。在(zai)(zai)美、英(ying)等(deng)國的(de)一(yi)元制(zhi)公(gong)(gong)司(si)(si)治(zhi)(zhi)理(li)模式中就沒(mei)有監(jian)事(shi)(shi)會(hui);在(zai)(zai)香港(gang)上(shang)市(shi)的(de)一(yi)些內(nei)地藍籌(chou)公(gong)(gong)司(si)(si)也只有獨立董事(shi)(shi),而無監(jian)事(shi)(shi)會(hui)制(zhi)度;法國公(gong)(gong)司(si)(si)對是否設(she)立監(jian)事(shi)(shi)會(hui)由公(gong)(gong)司(si)(si)章程選擇。那在(zai)(zai)當(dang)前這種(zhong)情(qing)況(kuang)下,我國上(shang)市(shi)公(gong)(gong)司(si)(si)的(de)監(jian)事(shi)(shi)會(hui)是否還有必要(yao)存在(zai)(zai)呢?對此,筆者有以下幾點(dian)想法:
其(qi)(qi)一(yi),上(shang)(shang)市公司(si)監(jian)事(shi)會(hui)并(bing)非必須有(you)。有(you)為才有(you)位,如(ru)果監(jian)事(shi)會(hui)越(yue)來(lai)越(yue)被(bei)邊(bian)緣化(hua),那(nei)將其(qi)(qi)取消或部(bu)分取消也未必就是錯誤的(de)。在全力(li)完(wan)善獨(du)(du)立董事(shi)制度(du)、確保獨(du)(du)立董事(shi)的(de)獨(du)(du)立公正性的(de)基(ji)礎上(shang)(shang),可以(yi)考(kao)慮(lv)修改《公司(si)法(fa)(fa)》等(deng)法(fa)(fa)律法(fa)(fa)規(gui),規(gui)定上(shang)(shang)市公司(si)是否設立監(jian)事(shi)會(hui),由(you)公司(si)章程自主決定。對于不(bu)設監(jian)事(shi)會(hui)的(de),原監(jian)事(shi)會(hui)的(de)部(bu)分職能可歸(gui)并(bing)由(you)獨(du)(du)立董事(shi)執行(xing)。
其(qi)二,如(ru)果保(bao)留監(jian)事(shi)(shi)會,那(nei)就必須促使其(qi)發(fa)揮(hui)應有(you)的作用。這就要設法確保(bao)監(jian)事(shi)(shi)會的組成人員具有(you)較(jiao)高素質,并與董事(shi)(shi)、經理相(xiang)互獨(du)立(li);還要賦予(yu)監(jian)事(shi)(shi)會行使職權所必需的基礎條件和手段(duan);建立(li)監(jian)事(shi)(shi)會是(shi)否履責相(xiang)應的激勵與處罰機制(zhi)。
其三,合(he)理(li)劃分監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)與獨(du)立(li)董(dong)事(shi)(shi)的(de)(de)(de)職(zhi)(zhi)(zhi)能(neng)權限(xian)。由于目前獨(du)立(li)董(dong)事(shi)(shi)與監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)兩(liang)者之(zhi)間職(zhi)(zhi)(zhi)能(neng)劃分不(bu)清甚至(zhi)存在不(bu)少(shao)交叉,對于保(bao)留監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)的(de)(de)(de)上(shang)市公(gong)(gong)(gong)司,在確保(bao)公(gong)(gong)(gong)司利(li)益(yi)最大(da)化這(zhe)個共同(tong)目標基(ji)礎(chu)上(shang),應(ying)該(gai)明確兩(liang)者各自(zi)的(de)(de)(de)職(zhi)(zhi)(zhi)能(neng)重點(dian)。為(wei)此(ci),筆(bi)者的(de)(de)(de)設想是(shi),獨(du)立(li)董(dong)事(shi)(shi)的(de)(de)(de)宏(hong)觀大(da)目標是(shi)要(yao)充(chong)分發(fa)揮其獨(du)立(li)公(gong)(gong)(gong)正(zheng)的(de)(de)(de)品質及(ji)(ji)專業技能(neng),監(jian)(jian)(jian)督董(dong)事(shi)(shi)會(hui)(hui)(hui)所有重大(da)決(jue)策的(de)(de)(de)公(gong)(gong)(gong)正(zheng)性和科學性,保(bao)障決(jue)策的(de)(de)(de)公(gong)(gong)(gong)正(zheng)與行為(wei)的(de)(de)(de)妥當;獨(du)立(li)董(dong)事(shi)(shi)理(li)應(ying)主要(yao)站(zhan)在中小(xiao)股東(dong)角(jiao)度,維護(hu)中小(xiao)股東(dong)利(li)益(yi)不(bu)受侵犯。而(er)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)的(de)(de)(de)宏(hong)觀大(da)目標應(ying)以(yi)檢查公(gong)(gong)(gong)司財(cai)(cai)務(wu)等(deng)手段(duan)來監(jian)(jian)(jian)督董(dong)事(shi)(shi)、經理(li)業務(wu)行為(wei)的(de)(de)(de)合(he)法性,保(bao)障財(cai)(cai)務(wu)信息的(de)(de)(de)真實和業務(wu)行為(wei)的(de)(de)(de)合(he)法。監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)的(de)(de)(de)立(li)場應(ying)主要(yao)站(zhan)在公(gong)(gong)(gong)司職(zhi)(zhi)(zhi)工以(yi)及(ji)(ji)銀(yin)行等(deng)公(gong)(gong)(gong)司相關利(li)益(yi)者角(jiao)度,按《公(gong)(gong)(gong)司法》的(de)(de)(de)規定,監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)應(ying)包括適當比例的(de)(de)(de)公(gong)(gong)(gong)司職(zhi)(zhi)(zhi)工代表,因此(ci)監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)已經含有職(zhi)(zhi)(zhi)工利(li)益(yi)代表,這(zhe)么(me)看來,今后監(jian)(jian)(jian)事(shi)(shi)會(hui)(hui)(hui)也(ye)應(ying)適當注意吸納銀(yin)行等(deng)利(li)益(yi)相關者人員,以(yi)維護(hu)其合(he)法權益(yi)。
