繼確定沈陽(yang)汽車(即(ji)沈陽(yang)汽車有(you)限公(gong)司)為重(zhong)整潛在(zai)投資(zi)人后,華晨集(ji)團(tuan)(華晨汽車集(ji)團(tuan)控股有(you)限公(gong)司)歷時已(yi)近三(san)年的重(zhong)整之路又迎最新進展。
日前,金杯(bei)汽車(SH600609,股(gu)價5.22元,市值68.44億元)發布公(gong)(gong)告稱,6月14日,沈(shen)陽(yang)汽車與華(hua)(hua)晨集團(tuan)等12家(jia)企(qi)業(ye)、管理人共同簽(qian)署《華(hua)(hua)晨汽車集團(tuan)控股(gu)有限公(gong)(gong)司等12家(jia)企(qi)業(ye)實(shi)(shi)質合(he)(he)并重整之投資協(xie)議(yi)》(以下簡(jian)稱《重整投資協(xie)議(yi)》),相關投資安排(pai)將(jiang)被寫(xie)入《華(hua)(hua)晨汽車集團(tuan)控股(gu)有限公(gong)(gong)司等12家(jia)企(qi)業(ye)實(shi)(shi)質合(he)(he)并重整計(ji)劃(hua)(草案)》(以下簡(jian)稱《重整計(ji)劃(hua)(草案)》)提(ti)交債權人會議(yi)表決(jue),經法院(yuan)裁定(ding)批準后方可(ke)生效。遼寧省沈(shen)陽(yang)市中級人民法院(yuan)(以下簡(jian)稱沈(shen)陽(yang)中院(yuan))已定(ding)于(yu)6月30日上午9時(shi)30分召(zhao)開(kai)華(hua)(hua)晨集團(tuan)等12家(jia)企(qi)業(ye)實(shi)(shi)質合(he)(he)并重整案第(di)四次債權人會議(yi),對調整后的《重整計(ji)劃(hua)(草案)》進行表決(jue)。
沈陽汽車將獲全部股權
金杯汽(qi)(qi)車(che)(che)此后再(zai)發公(gong)(gong)(gong)告,對《重(zhong)(zhong)整(zheng)投資(zi)(zi)(zi)協議(yi)》主要(yao)內容進行披露(lu)。根(gen)據《重(zhong)(zhong)整(zheng)投資(zi)(zi)(zi)協議(yi)》,沈(shen)陽汽(qi)(qi)車(che)(che)擬(ni)作為總投資(zi)(zi)(zi)人,以(yi)取得華(hua)晨(chen)集(ji)團100%股權(quan)(quan)的(de)(de)方(fang)式(shi)整(zheng)體承接(jie)華(hua)晨(chen)集(ji)團等12家(jia)(jia)實(shi)質合(he)并重(zhong)(zhong)整(zheng)企(qi)業(ye)資(zi)(zi)(zi)產(chan)(華(hua)晨(chen)中國(guo)0.44%的(de)(de)股權(quan)(quan),華(hua)晨(chen)集(ji)團持有的(de)(de)、全部(bu)質押給債(zhai)權(quan)(quan)人的(de)(de)廣發銀行股份有限公(gong)(gong)(gong)司(si)股權(quan)(quan)及(ji)相應孳息,以(yi)及(ji)其他破產(chan)重(zhong)(zhong)整(zheng)程序中依法已/擬(ni)通過拍賣或(huo)其他方(fang)式(shi)處置的(de)(de)資(zi)(zi)(zi)產(chan)除(chu)外(wai)),包括核心資(zi)(zi)(zi)產(chan)華(hua)晨(chen)中國(guo)、金杯汽(qi)(qi)車(che)(che)、申華(hua)控(kong)股三(san)家(jia)(jia)上(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司(si)的(de)(de)控(kong)制權(quan)(quan)及(ji)其他非上(shang)市(shi)(shi)(shi)資(zi)(zi)(zi)產(chan),以(yi)及(ji)附件一清單(dan)所列示的(de)(de)融資(zi)(zi)(zi)租賃物(wu)。沈(shen)陽汽(qi)(qi)車(che)(che)本次投資(zi)(zi)(zi)未對重(zhong)(zhong)整(zheng)企(qi)業(ye)持有的(de)(de)華(hua)晨(chen)中國(guo)、金杯汽(qi)(qi)車(che)(che)、申華(hua)控(kong)股三(san)家(jia)(jia)上(shang)市(shi)(shi)(shi)公(gong)(gong)(gong)司(si)股權(quan)(quan)相關資(zi)(zi)(zi)產(chan)進行單(dan)獨報價(jia)。
據悉,沈(shen)陽汽(qi)車(che)本次投資的(de)(de)交(jiao)易對價(jia)不超過人(ren)民幣164億元(yuan),且(qie)根據第(di)三次招募重整投資人(ren)的(de)(de)相關遴選規則(ze),確(que)定交(jiao)易對價(jia),定價(jia)公允,不存在損(sun)害上市公司及中小投資者(zhe)利益(yi)的(de)(de)情形;主要(yao)交(jiao)易架構為通過出資人(ren)權(quan)益(yi)調整,將華晨集團100%股(gu)權(quan)調整至沈(shen)陽汽(qi)車(che);資金來源則(ze)為沈(shen)陽汽(qi)車(che)自有及自籌資金。
鎖(suo)(suo)定(ding)(ding)期(qi)安排方(fang)(fang)面,重整投(tou)資人將(jiang)嚴格遵守有關(guan)法律法規關(guan)于股(gu)份鎖(suo)(suo)定(ding)(ding)的相關(guan)規定(ding)(ding),協議相關(guan)方(fang)(fang)未約(yue)定(ding)(ding)其(qi)他鎖(suo)(suo)定(ding)(ding)期(qi)安排;要約(yue)收購及豁免方(fang)(fang)面,沈陽汽車需(xu)完成金杯(bei)汽車要約(yue)收購豁免或要約(yue)收購義務。
值得注意的(de)是,在履(lv)約能(neng)力方(fang)面,公告顯示,沈陽汽車的(de)實際(ji)控制人為沈陽市國資(zi)委(即(ji)沈陽市人民政(zheng)府國有資(zi)產(chan)監督管(guan)理(li)委員會),具備相應履(lv)約能(neng)力。
根(gen)據此(ci)前披露的信息,沈(shen)(shen)陽(yang)(yang)(yang)汽車為沈(shen)(shen)陽(yang)(yang)(yang)財(cai)瑞投(tou)(tou)資(zi)有(you)限公(gong)(gong)(gong)司(si)(si)(以下簡稱沈(shen)(shen)陽(yang)(yang)(yang)財(cai)瑞)的全資(zi)附屬公(gong)(gong)(gong)司(si)(si)。企查查顯示,沈(shen)(shen)陽(yang)(yang)(yang)財(cai)瑞由沈(shen)(shen)陽(yang)(yang)(yang)財(cai)盛投(tou)(tou)資(zi)基金(jin)有(you)限公(gong)(gong)(gong)司(si)(si)和(he)沈(shen)(shen)陽(yang)(yang)(yang)地(di)鐵(tie)經營(ying)有(you)限公(gong)(gong)(gong)司(si)(si)各(ge)持(chi)(chi)股50%。而沈(shen)(shen)陽(yang)(yang)(yang)財(cai)盛投(tou)(tou)資(zi)基金(jin)有(you)限公(gong)(gong)(gong)司(si)(si)又由沈(shen)(shen)陽(yang)(yang)(yang)盛京金(jin)控投(tou)(tou)資(zi)集(ji)(ji)團有(you)限公(gong)(gong)(gong)司(si)(si)100%持(chi)(chi)股,后者由沈(shen)(shen)陽(yang)(yang)(yang)國(guo)(guo)資(zi)委(wei)持(chi)(chi)股67.421%;沈(shen)(shen)陽(yang)(yang)(yang)地(di)鐵(tie)經營(ying)有(you)限公(gong)(gong)(gong)司(si)(si)由沈(shen)(shen)陽(yang)(yang)(yang)地(di)鐵(tie)集(ji)(ji)團有(you)限公(gong)(gong)(gong)司(si)(si)100%持(chi)(chi)股,而沈(shen)(shen)陽(yang)(yang)(yang)國(guo)(guo)資(zi)委(wei)對沈(shen)(shen)陽(yang)(yang)(yang)地(di)鐵(tie)集(ji)(ji)團有(you)限公(gong)(gong)(gong)司(si)(si)持(chi)(chi)股88.7273%。
“沈陽汽(qi)車(che)投(tou)資的(de)(de)目的(de)(de)主要是發展沈陽市(shi)的(de)(de)汽(qi)車(che)產業,根據(ju)相(xiang)關法律規定(ding),相(xiang)關投(tou)資安排將被寫入《華晨(chen)汽(qi)車(che)集團控(kong)股有(you)限公司等12家企業實質(zhi)合并重整計劃(草案)》提(ti)交債權人會議(yi)表(biao)決(jue),經法院裁定(ding)批準后方可生效。”金杯汽(qi)車(che)公告顯示。
華晨重整路已近三年
金杯(bei)汽車(che)(che)方(fang)面(mian)表示(shi),截至公(gong)(gong)告(gao)日(ri),沈陽汽車(che)(che)與華(hua)晨集(ji)團等12家企(qi)業、管理人已簽署《重(zhong)整投資(zi)(zi)協(xie)議》,上述安排已寫入《重(zhong)整計劃(草(cao)案)》。上述重(zhong)整相(xiang)關程序通過后,金杯(bei)汽車(che)(che)實際控(kong)制(zhi)人將由(you)遼寧(ning)省國(guo)資(zi)(zi)委變更為沈陽市國(guo)資(zi)(zi)委。公(gong)(gong)司(si)具有(you)獨立完整的(de)業務(wu)(wu)(wu)及自(zi)主經營能力,在業務(wu)(wu)(wu)、人員、資(zi)(zi)產(chan)、機構、財務(wu)(wu)(wu)等方(fang)面(mian)與控(kong)股股東及其(qi)關聯方(fang)相(xiang)互獨立。華(hua)晨集(ji)團的(de)重(zhong)整事項不會對公(gong)(gong)司(si)日(ri)常(chang)生(sheng)產(chan)經營產(chan)生(sheng)影響,截至公(gong)(gong)告(gao)披(pi)露日(ri),公(gong)(gong)司(si)的(de)生(sheng)產(chan)經營情況正常(chang)。
據(ju)了(le)解,截至公(gong)告日,華(hua)晨集團(tuan)通過其全資子公(gong)司(si)沈(shen)陽(yang)市汽(qi)車工業資產(chan)經營有(you)限公(gong)司(si)持有(you)金(jin)杯汽(qi)車約2.43億股(gu)股(gu)份(fen),占金(jin)杯汽(qi)車總(zong)股(gu)本的(de)18.53%。其中(zhong),上述(shu)股(gu)份(fen)中(zhong)7360萬股(gu)處于司(si)法(fa)凍(dong)結狀態,7654.26萬股(gu)通過光大證券(quan)股(gu)份(fen)有(you)限公(gong)司(si)信用交易擔(dan)保證券(quan)賬戶持有(you)。
與此同時,申華(hua)控股(gu)(SH600653,股(gu)價1.86元,市(shi)值36.20億元)也發布公(gong)(gong)(gong)告,對(dui)上述(shu)相關(guan)內容(rong)進行披露。在公(gong)(gong)(gong)告中,申華(hua)控股(gu)方面(mian)表示,截至公(gong)(gong)(gong)告日(ri),公(gong)(gong)(gong)司(si)(si)間(jian)接(jie)(jie)控股(gu)股(gu)東(dong)華(hua)晨集(ji)團直接(jie)(jie)及通過遼寧(ning)正國投(tou)資(zi)發展有限公(gong)(gong)(gong)司(si)(si)、遼寧(ning)華(hua)晟間(jian)接(jie)(jie)持有公(gong)(gong)(gong)司(si)(si)股(gu)份合(he)計約4.46億股(gu),占公(gong)(gong)(gong)司(si)(si)總股(gu)本的(de)(de)22.93%。公(gong)(gong)(gong)司(si)(si)具有獨(du)立(li)(li)完整的(de)(de)業務及自主經營(ying)能力(li),在業務、人員、資(zi)產(chan)、機構、財(cai)務等方面(mian)與控股(gu)股(gu)東(dong)及其關(guan)聯方相互(hu)獨(du)立(li)(li),重(zhong)整事項(xiang)不會(hui)對(dui)公(gong)(gong)(gong)司(si)(si)日(ri)常生(sheng)產(chan)經營(ying)產(chan)生(sheng)影響,公(gong)(gong)(gong)司(si)(si)的(de)(de)生(sheng)產(chan)經營(ying)情況正常。
從2020年11月被裁(cai)定(ding)受理破產(chan)重(zhong)(zhong)整(zheng)(zheng)至今,華晨集(ji)團的重(zhong)(zhong)整(zheng)(zheng)之路已近三年,且幾經波折(zhe)。如今,隨著《重(zhong)(zhong)整(zheng)(zheng)投資協議》的敲(qiao)定(ding),華晨集(ji)團的重(zhong)(zhong)整(zheng)(zheng)或(huo)迎來(lai)最終章。
全國乘用(yong)(yong)車市場信息聯席(xi)會秘書(shu)長(chang)崔東(dong)樹在(zai)接(jie)受《每日經濟新聞》記者采(cai)訪時曾表示:“華晨集團發展到當(dang)前的情況(kuang),主要是(shi)(shi)自主不(bu)強導(dao)致的。接(jie)下來最(zui)好的結(jie)果是(shi)(shi)把(ba)資源盤(pan)活利用(yong)(yong),圍繞寶馬的配套實(shi)現進一步(bu)發展。”
